- Draft, review and negotiate a broad range of commercial agreements, including:
customer and partner agreements;
cloud and SaaS transactions;
professional services agreements;
procurement agreements;
confidentiality agreements;
technology and outsourcing arrangements.
- Provide practical legal guidance to sales, services, finance, HR and operational stakeholders.
- Support strategic customer negotiations and executive-level commercial discussions.
- Advise on contract interpretation, risk allocation and dispute avoidance.
- Support governance and corporate secretarial matters for entities across EMEA and APAC.
- Coordinate board meetings, shareholder resolutions and corporate approvals.
- Support legal entity restructurings, recapitalizations, liquidations and other corporate transactions.
- Manage relationships with external counsel and corporate service providers.
- Advise on telecommunications, technology, privacy, cybersecurity and digital regulations.
- Support compliance with applicable laws and internal policies.
- Assist with regulatory investigations, government inquiries and audits.
- Support implementation of global compliance initiatives.
- Support mergers, acquisitions, divestitures, outsourcing projects and other strategic initiatives.
- Participate in cross-functional projects involving finance, tax, treasury, HR and operations.
- Assist with global legal transformation and process improvement initiatives.
- Provide legal support for special projects directed by senior management and the General Counsel organization.
- Manage disputes, litigation and pre-litigation matters with external counsel.
- Advise business stakeholders on risk mitigation strategies.
- Support investigations and preservation of legal privilege.
Koho hledáme
- Law degree and admission to practice in a relevant jurisdiction.
- Minimum 7-10 years of post-qualification legal experience in a leading law firm and/or multinational in-house legal department.
- Significant experience supporting international commercial transactions.
- Experience managing legal matters across multiple jurisdictions.
- Strong understanding of corporate governance and legal entity management.
- Excellent drafting, negotiation and stakeholder management skills.
- Ability to operate independently and manage competing priorities in a fast-paced multinational environment.
- Strong commercial judgment and pragmatic problem-solving skills.
- Excellent written and verbal English communication skills.
- Ability to work effectively across cultures and time zones.
